Terms & Conditions
Effective date: 19 May 2026
These Terms & Conditions (“Terms”) constitute a binding agreement between you (“the User” or “you”) and Ops Assist (“we”, “us”, or “our”) governing your use of WC Manager(“the Service”).
By registering for the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.
These Terms are governed by the laws of the Republic of South Africa, including the Electronic Communications and Transactions Act 25 of 2002 (ECT Act) and the Consumer Protection Act 68 of 2008 (CPA) where applicable.
1. The Service
WC Manageris a multi-tenant SaaS platform that connects to your WooCommerce store via the WooCommerce REST API and provides analytics, product management, stock takes, customer insight, procurement workflows (purchase orders, restock predictor), AI-generated product descriptions, AI business insights, and team collaboration features. The Service is provided on an “as is” basis subject to the terms below.
2. Eligibility and Account Registration
- You must be at least 18 years old and legally capable of entering into binding agreements.
- You must provide accurate and complete registration information and keep it up to date.
- One account may represent one organisation. You are responsible for all activity that occurs under your account.
- You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@opsassist.net if you suspect unauthorised access.
- We reserve the right to refuse registration or terminate accounts at our discretion.
3. Free Trial
Upon registration, each new organisation receives a 24-hour free trial of the Pro plan. No payment method is required to start a trial. At the end of the trial period, access to Pro features is automatically suspended until a subscription is activated. Free plan features remain available indefinitely at no charge.
4. Subscription Plans, AI Credits and Pricing
4.1 Subscriptions

Pro plan includes everything on the Free plan plus: AI Insights (2 free generations per 7-day rolling window), AI Descriptions (2 free generations per 7-day rolling window), Restock Predictor with 180-day velocity forecasts, Order Clock heatmap, Product Chemistry, Customer LTV reports, spreadsheet product editing, stock takes, full activity audit log, and unlimited team members.
4.2 AI Credit Bundles
AI generations above the free weekly quota are paid for using AI credits. Credits are sold in bundles via PayFast as one-off purchases — they are not a subscription and never expire once purchased. Volume discounts apply:

Credits are deducted only on a successful generation — if our LLM provider fails, no credit is consumed. There is a 5-minute “free re-gen” window after each AI Description generation that lets you regenerate once for the same product at no additional credit cost.
4.3 General pricing
- All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable. Prices in other currencies are converted for display only — PayFast settles in ZAR.
- Pricing may change. We will provide at least 30 days' notice by email before any subscription price change takes effect. Continued use after the effective date constitutes acceptance.
- Subscriptions renew automatically at the end of each billing period unless cancelled.
5. Payment
- Payments — both recurring subscriptions and one-off AI credit top-ups — are processed by PayFast (Pty) Ltd, a registered payment service provider in South Africa. Your payment details are handled directly by PayFast — we never see or store your card or banking details.
- By subscribing, you authorise PayFast to charge your selected payment method on a recurring basis.
- If a recurring payment fails, your account will enter a 5-day grace period during which full access is maintained. If payment is not received within the grace period, your account will revert to the Free plan.
- If a coupon grants free months at signup, no payment is taken until the free period ends. You will need to subscribe again to keep access once the free period has lapsed — we do not store a card on file in the free-coupon path.
- All payments are non-refundable except as required by the Consumer Protection Act or as otherwise agreed in writing. Unused AI credits are non-refundable.
6. Cancellation
- You may cancel your subscription at any time from the Billing settings page within the Service.
- Upon cancellation, your Pro access continues until the end of the current billing period. No partial-month refunds are issued.
- After the period ends, your account downgrades to the Free plan. Any unused AI credits remain available indefinitely on the Free plan.
- Your data is retained for 12 months after which it may be deleted. To permanently delete your account and all associated data immediately, contact us at support@opsassist.net.
7. Your WooCommerce Data
- You grant us a limited, revocable licence to access your WooCommerce store data via the API credentials you provide, solely for the purpose of operating the Service.
- You remain the owner of all data in your WooCommerce store. We do not claim ownership of any content you or your customers generate.
- You are responsible for ensuring you have lawful authority to connect your WooCommerce store and that doing so complies with any applicable obligations to your own customers (including their data protection rights).
- We process your customers' data as a data processor on your behalf. You are the responsible party (“data controller” in GDPR terms) for that data. Our obligations as processor are governed by our Privacy Policy.
- When you connect a store, we register an outbound WooCommerce webhook on your WP site so we can receive near real-time order notifications. The webhook is removed automatically when you disconnect the store or close your account.
- If you supply a WordPress Application Password, we use it only for image uploads to your WP media library, resolving cashier names from WP users, and reading TeraWallet balances — never for any other purpose.
8. AI Features
- AI Insights and AI Descriptions are powered by third-party Large Language Models, currently Groq and xAI (Grok). When you trigger a generation we send the relevant subset of your store data (sales totals, customer cohorts, product fields, your chosen tone / style / audience controls) to the provider to receive a response.
- The LLM providers we use have published commitments not to use API inputs for model training. We do not opt into any data-sharing programmes on your behalf.
- AI output may be inaccurate, incomplete, or generic. You are solely responsible for reviewing generated descriptions, insights, valuations and action lists before relying on them or publishing them to your store. The Service includes inline editors and an explicit “Apply to WC” step for this purpose — content is not pushed to your store automatically.
- AI-generated valuations are estimates derived from the data you provide and the LLM's reasoning. They are not professional financial advice and must not be used as the sole basis for any commercial, taxation or investment decision.
- Each successful generation consumes either a weekly free slot or one credit from your AI credit balance. Failed generations do not consume credits. Re-generating for the same product within 5 minutes of a successful run does not consume an additional credit.
- We may impose reasonable rate limits to prevent abuse and to protect the upstream LLM providers' service quality.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Attempt to gain unauthorised access to any part of the Service or its underlying systems
- Resell, sublicence, or make the Service available to third parties without our written consent
- Use automated scripts to scrape data from the Service or to artificially inflate AI generation usage
- Generate AI content that infringes any third party's intellectual-property rights, is defamatory, discriminatory, sexually explicit, or otherwise unlawful
- Transmit malicious code, viruses, or any disruptive content
- Use the Service in a way that could damage, disable, or impair the Service or WooCommerce stores of other users
Breach of this clause may result in immediate suspension or termination of your account without refund.
10. Team Members, Roles and Support Access
The account owner is responsible for all actions taken by team members they invite to the Service. You must ensure that all team members are aware of and comply with these Terms. You are responsible for removing access for team members who leave your organisation.
From time to time a member of our support team may request temporary access to your organisation to investigate or resolve an issue. Such requests appear as an in-app banner; access is granted only if an owner or admin in your organisation explicitly approves the request, and is automatically revoked after 24 hours (or sooner if you end the session manually). Support access cannot reach the Billing page. Every action performed during a support session is recorded in your activity log.
11. Notifications
The Service offers optional browser push notifications for new orders and other operational alerts. Push subscriptions are opt-in and can be disabled from your browser settings at any time. We do not use push notifications for marketing.
12. Intellectual Property
All rights, title, and interest in and to the Service (including the software, design, analytics methodology, reports, and the prompts that drive AI generations) vest in Ops Assist. Nothing in these Terms grants you any rights in the Service beyond the limited right to use it as described herein. “WC Manager” and associated branding are proprietary to Ops Assist.
You own the AI-generated content you push to your WooCommerce store (where applicable law permits ownership of AI output). You grant us a non-exclusive licence to store that content alongside your generation history so it can be re-opened from the “Recent generations” panel.
13. Availability and Maintenance
- We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control (including upstream WooCommerce, PayFast, or LLM-provider outages).
- We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.
- If we discontinue the Service entirely, we will provide at least 30 days' notice and a pro-rata refund for any unused subscription period.
14. Disclaimer of Warranties
To the maximum extent permitted by South African law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, that data will be accurate, that AI output will be factual or fit for purpose, or that any particular feature will remain available.
15. Limitation of Liability
To the maximum extent permitted by law, Ops Assist's total cumulative liability to you for any claim arising from or relating to the Service shall not exceed the total fees you paid in the 3 months immediately preceding the event giving rise to the claim.
We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or damages arising from reliance on AI-generated content, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot lawfully be excluded, including liability for fraud or under the Consumer Protection Act.
16. Indemnity
You agree to indemnify and hold Ops Assistharmless from any claim, damage, loss, or expense (including legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) your violation of any law or third-party right; (c) your misuse of WooCommerce data belonging to your customers; or (d) any claim that AI-generated content you published to your store infringes a third party's rights or is otherwise unlawful.
17. POPIA and Data Processing
The collection and use of personal information in connection with the Service is governed by our Privacy Policy, which forms part of these Terms and is incorporated herein by reference. Where you share your customers' personal information with us through the WooCommerce integration, you warrant that you have a lawful basis for doing so and that you have fulfilled your own POPIA obligations to those data subjects.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or within the Service at least 14 days before the change takes effect. If you do not accept the updated Terms, you may cancel your subscription before the effective date. Continued use of the Service after the effective date constitutes acceptance.
19. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Service shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to mediation under the AFSA Expedited Mediation Rules, and thereafter to arbitration under the AFSA rules in South Africa.
Nothing in this clause prevents either party from seeking urgent relief from a South African court of competent jurisdiction.
20. General
- Entire agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Ops Assist regarding the Service.
- Severability — If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
- No waiver — Failure to enforce any right does not constitute a waiver of that right.
- Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity.
- Language — These Terms are in English. In the event of a conflict with a translated version, the English version prevails.
